Risk Disclosure

CONFIRM:Effective date.

This page sets out the principal risks and limitations that apply to the information published on Ribera Marketplace and to any strategy accessed through it. Read it in full before requesting access or committing capital.

Important Information

Ribera Marketplace provides general information about independently managed investment strategies. Nothing on this website constitutes personalized investment, legal, tax or accounting advice, an individual suitability assessment, or a guarantee of future performance.

Investors should assess their objectives, financial circumstances, experience, liquidity needs and capacity to bear losses, and obtain independent professional advice where appropriate.

Investing and trading involve risk. Investors may lose some or all of the capital allocated to a strategy.

Investor Eligibility

Access depends on applicable law, investor eligibility, jurisdiction, provider requirements and the terms of each strategy. An inquiry, invitation or access request does not guarantee acceptance or availability.

References to private, experienced or sophisticated investors do not establish a formal regulatory client classification. Some instruments and strategies may be unavailable to particular investor categories or residents of particular countries.

Nothing on this website constitutes an offer or solicitation where that activity would be unlawful.

Ribera’s Role

Ribera Marketplace sources, reviews and presents strategy information and facilitates access through the applicable arrangements. Ribera does not take custody of investor funds.

CONFIRM: Investor accounts are opened and maintained directly with the applicable brokerage or financial-services provider. Marketplace onboarding assistance is administrative and informational. Ribera does not execute investor trades through the Marketplace or direct managers’ day-to-day trading decisions.

Inclusion, prominence, comparisons and Ribera commentary do not constitute a personal recommendation that a strategy is suitable for an individual investor.

Brokerages and Independent Managers

The responsibilities of each brokerage, manager and service provider are defined in the applicable agreements. Account opening, KYC, AML, classification, custody and execution are subject to the responsible provider’s obligations.

CONFIRM: Unless specifically disclosed otherwise, strategy managers and brokerage providers are legally separate from the Marketplace operator.

Review the relevant agreements, execution policies, fees and risk warnings. Ribera does not guarantee a provider’s solvency, execution quality, continued operation or investment results.

Market, Leverage and CFD Risk

Prices, volatility, liquidity and correlations may change rapidly. Certain strategies may trade FX, commodities, derivatives, CFDs or other leveraged instruments.

Leverage increases exposure relative to committed capital and magnifies gains and losses. Margin shortfalls may cause automatic liquidation. Depending on the instrument, account terms and applicable protections, losses may exceed the initial amount committed. Do not assume negative-balance protection applies to every arrangement.

CFDs and other leveraged products are complex and may be inappropriate for some investors. Review the provider’s product-specific warnings and understand margin, financing and close-out rules.

Past Performance and Data Sources

Past performance is not a reliable indicator of future results. Actual investor results may differ from published strategy results.

Information may originate from managers, brokerage statements, administrators or verification providers. Verification can differ by strategy and period. Manager-reported information, Ribera-reviewed information and independently verified information are not interchangeable.

Read the source, period, currency, fee basis, exposure basis and verification notes accompanying each series. Do not assume missing information has been independently verified.

Hypothetical and Illustrative Results

Backtested, simulated, modelled, projected and illustrative results are not actual investor trading results. They may benefit from hindsight and may not reflect liquidity, market impact, financing, execution or other real-world constraints.

An illustrative curve is not historical evidence. A portfolio simulation remains hypothetical even when it uses historical returns from live strategies.

Drawdown and Risk Controls

Historical maximum drawdown is the largest observed decline from a previous peak in the stated series and period. It is not a limit on future losses.

Monthly observations can conceal larger daily or intramonth losses. Stop-loss orders and other controls may fail to operate at the intended price. Any contractual protection depends on its terms and the ability of the responsible party to perform.

Marketplace Risk Categories

Marketplace risk categories compare strategies within the Marketplace. They are not official regulatory risk scores, credit ratings or guarantees of safety. A strategy described as lower risk may still suffer substantial losses.

CONFIRM: Categories are assigned using available historical and qualitative information and reviewed when material information changes.

Diversification, Concentration and Currency

Combining strategies does not guarantee profits or prevent losses. Apparently different strategies may share managers, signals, counterparties or underlying exposures. Correlations can increase during market stress.

Currency movements and conversion charges may cause results in an investor’s home currency to differ from results in the strategy’s reporting currency.

Portfolio Simulator

Portfolio Simulator is an informational allocation and illustration tool. It does not provide personalized advice or execute investments.

Results depend on the stated data and assumptions, including dates, weights, rebalancing, fees, currency and execution. Actual outcomes may differ materially. Meeting a displayed investment minimum does not establish investor eligibility or provider acceptance.

Liquidity and Withdrawals

Market stress can make positions difficult to trade, close or value. Wider spreads, delayed execution and restricted liquidity may increase losses.

Withdrawal and reallocation rights depend on the relevant strategy and account terms, including notice periods, open positions, margin requirements and settlement. A withdrawal request may not immediately end market exposure.

Counterparty, Manager and Operational Risks

Investors may be exposed to brokerage, bank, counterparty, liquidity-provider and other intermediary failures. Regulation does not eliminate those risks.

Managers may make incorrect decisions, change their approach, experience personnel changes or encounter unsuitable market conditions.

Technology failures, cyber incidents, data errors, connectivity problems and operational mistakes may disrupt trading, reporting or account access and cause losses.

Fees and Costs

Returns may be reduced by management fees, performance fees, commissions, spreads, financing, swaps, currency conversion, platform charges and other applicable costs.

Published returns may not include every cost borne by an individual investor. Review the complete applicable fee schedule before committing capital.

Compensation and Conflicts

CONFIRM: Ribera may receive compensation from permitted arrangements with managers, brokerages or other partners, including introductions, performance-related economics, platform services or trading activity.

Such arrangements may create incentives affecting provider selection, strategy inclusion or prominence. Disclosure does not eliminate a conflict. Applicable compensation and material conflicts must be explained before commitment as required by law.

The examples above do not mean that every arrangement is used or permitted in every jurisdiction.

Review Status and Third-Party Information

“Selected,” “reviewed,” “observed” and “institutional-quality” describe positioning or the stated scope of a review. They do not mean regulatory approval, an independent audit, capital protection or guaranteed suitability.

Review status applies only to its stated scope and date. Pending items remain unresolved. Third-party information may be incomplete, outdated or incorrect.

Changes and Further Information

Strategies, leverage, instruments, minimums, fees and provider arrangements can change. Review current information and documentation before participation. The risks described here are not exhaustive.
